WE WOULD LIKE TO, UH, HAVE, UH, THE DEVELOPER OR DEVELOPER TEAM AND FAMILIES, UH, REACH OUT TO US, LET US KNOW ABOUT, UH, ANY GROUNDBREAKINGS OR ANY OTHER ITEMS OF COMMUNITY INTEREST.

AND WE'LL ANNOUNCE IT HERE, UH, DURING THIS TIME PERIOD.

UM, WE ARE HEAD, UM, COUNCIL MEMBER OMAR VES FROM DISTRICT SIX IS GOING TO UNVEIL A CEREMONIAL SIGN TOPPER IN HONOR OF A ROLE REYES JR.

AND AS Y'ALL REMEMBER, UH, DIRECTOR REYES SERVED THIS BOARD, UH, WITH HONOR AND DISTINCTION UNTIL HIS DEATH.

AND, UM, IF ANY OF, IF ANY OF OUR, UH, MEMBERS CAN MAKE IT, UM, IT WOULD BE GREATLY APPRECIATED TO, UH, HONOR DIRECTOR REYES AGAIN ON THAT DAY.

UM, LOOKS LIKE THEY'RE STARTING ON THE FOUNDATION AND I THINK THEY'RE TAKING UNDERWAY AS THEY, UH, AS THEY DEMO, YOU KNOW, RIP IT UP 'CAUSE THERE'S NO PILES RUBBLE, BUT IT DEFINITELY LOOKS LIKE THEY'VE STARTED ON THAT.

UM, I'LL ALLOW JAKE TO COME ON UP AND HELP SET HIM UP REAL QUICK TO PROVIDE A MORE IN DEPTH.

UM, YEAH, I THINK REALLY KIND OF WHAT WE'RE TRYING TO DO IS WE'RE ON THE DEVELOPMENT SIDE, IS JUST KINDA HOLD THEIR ATTENTION IF YOU WANNA WANNA CALL IT THAT.

AND SO JUST KINDA GET A SEAMLESS TRANSITION FROM DEMOLITION INTO CONSTRUCTION.

UM, SO JUST AS A REMINDER TO EVERYONE, UM, THE BOARD OF DIRECTORS IS APPOINTED AND APPROVED BY CITY COUNCIL, AND YOUR CITY COUNCIL HAS THE ABILITY TO, UM, REMOVE DIRECTORS, UH, WITH OR WITHOUT CAUSE.

SO THAT'S KIND OF THE, I THINK THE FIRST STEP.

UM, AND, AND IF SOMEONE IS REMOVED OR IF OTHER THEY OTHERWISE RESIGN, THEN, THEN THEY ARE FILLED BY AN APPOINTMENT, UM, THAT IS DETERMINED BY THE CITY COUNCIL.

UM, AS FAR AS AMENDING THE BYLAWS, WHICH I KNOW IS ONE OF THE THINGS THAT WE'RE LOOKING AT DOING RIGHT NOW.

UM, SO THE BYLAWS ARE, ARE BASICALLY, YOU KNOW, LIKE A, IF YOU WERE TO HAVE AN LLC, YOUR COMPANY AGREEMENT OR YOUR OPERATING ROOM, THE, THIS IS THE DOCUMENT THAT GOVERNS YOUR OPERATIONS AND THE, UH, BOTH INTERNALLY ON THE BOARD OF DIRECTORS AS WELL AS THE OPERATIONS OF THE ORGANIZATION.

UM, YOUR BYLAWS, UH, PURSUANT TO STATUTE, UM, ARE ADOPTED BY THE BOARD OF DIRECTORS AND ARE APPROVED BY THE CITY COUNCIL.

UH, THE BOARD OF DIRECTORS MAY AMEND OR REPEAL THE BYLAWS

THAT ALSO REQUIRES CITY COUNCIL APPROVAL.

AND FINALLY, UH, WITH RESPECT TO THE ARTICLES OF INCORPORATION, UM, THE CITY MAY AMEND THE ARTICLES OF INCORPORATION EITHER WITH THE APPROVAL OF THE BOARD OF DIRECTORS OR THE CITY MAY, UM, UNILATERALLY AMEND THE ARTICLES OF INCORPORATION.

AND SO THE REASON THAT, THAT THE ARTICLES OF INCORPORATION ARE IMPORTANT IS BECAUSE YOUR BYLAWS HAVE A PROVISION IN THEM THAT SAY THAT THE BYLAWS GOVERN ALL OF YOUR OPERATIONS, UH, TO THE EXTENT THAT THE BYLAWS ARE NOT IN CONFLICT WITH THE ARTICLES OF INCORPORATION.

SO IF ONE IS AMENDED, WE HAVE TO MAKE SURE THAT THE OTHER ONE IS CONGRUENT SO THAT WE DON'T HAVE CONFLICTS BETWEEN THE TWO.

SO IF WE AMEND ONE, WE NEED TO MAKE SURE THAT WE'RE GOING DOWN THE PATH OF EITHER AMENDING THE OTHER ONE, OR THAT THE AMENDMENTS THAT ARE BEING MADE ARE NOT IN CONFLICT.

SO I THINK THAT'S REALLY IMPORTANT.

AND THEN FINALLY, WITH RESPECT TO AMENDING THE ARTICLES OF INCORPORATION, UM, IT, IT WILL REQUIRE THE SIGNATURE OF BOTH THE PRESIDENT OR VICE PRESIDENT OF THE BOARD OF DIRECTORS AND THE CITY SECRETARY OR CITY CLERK.

SO IN ORDER FOR THESE PROCESSES TO MOVE FORWARD, THERE WILL NEED TO BE ACTION BY BOTH THE BOARD OF DIRECTORS AS WELL AS THE CITY, UM, FOR THE SIGNATURE, UM, OF THOSE AMENDED ARTICLES OF INCORPORATION.

UM, I THINK THAT, UH, THAT THAT'S A REAL, THOSE ARE ALL REALLY IMPORTANT POINTS, UM, AS WE'RE LOOKING AT, UH, AMENDING YOUR BYLAWS AND POTENTIALLY AMENDING THE ARTICLES AS WELL, JUST TO MAKE SURE THAT THERE IS, YOU KNOW, ACTION IN CONCERT.

OKAY, SO WE HAD ONE CLOSING SINCE OUR LAST BOARD MEETING, UH, THAT WAS THE STANDARD WEST COMMERCE, OTHERWISE KNOWN AS THE CAROLINE DEAL, UH, WITH OJALA.

IT IS, UH, JUST TO RECAP THAT, THAT PROJECT, IT IS AN EXISTING BUILDING, UH, INDUSTRIAL AND WITH THEIR TIMEFRAMES OF CLOSING TO CONSTRUCTION, UH, OR DEMOLITION OF IT, THEY, UH, THEY HAD 12 HOURS.

I MEAN, WE HAD A TENANT IN THAT BUILDING, UH, UNTIL ABOUT 8:00 PM UH, AND THEY WERE MOVING EVERYTHING OUT.

I WENT TO CHECK ON IT TO MAKE SURE THAT WE WOULD WEREN'T BUYING A PROPERTY THAT ALREADY HAD AN ISSUE SIMILAR TO EXISTING STRUCTURES THAT WE HAD, UH, PURCHASED IN THE PAST.

AND THEY HAD, UH, SECURITY CAMERAS UP AND THE NEXT DAY THEY WERE OUT THERE AT EIGHT IN THE MORNING, UH, GETTING FENCING PUT UP TO START THE DEMOLITION.

SO, UH, SPECIAL THANKS TO SUMMER AND BRAXTON FOR, UH, WORKING THROUGH SOME COMPLICATIONS, UH, IN THE LAST COUPLE DAYS, UH, BEFORE WE, UH, CLOSED THAT THING.

BUT DUE TO THEIR HARD WORK, UH, STAYED ON TRACK AND THAT BUILDING'S ON ITS WAY DOWN AND, AND AFFORDABLE HOUSING, THEREFORE IS ON ITS WAY UP.

UH, AS FAR AS PROJECTS THAT WE ARE CONSIDERING RIGHT NOW, WE HAVE SIX IN THE PIPELINE, UH, TWO OF WHICH WILL HAVE THEIR APPLICATIONS IN BY THIS FRIDAY, WHICH I'M, I'M FAIRLY CERTAIN THEY'LL HAVE 'EM IN, 'CAUSE WE'RE TALKING BASICALLY EVERY DAY.

UH, BOTH ARE ACTUALLY, UH, ADAPTIVE REUSE PROJECTS, WHICH IS PRETTY COOL.

UM, AND THEY'RE BOTH ON THE LARGER SIDES.

UM, ADDITIONALLY WE HAVE ANOTHER ADAPTIVE REUSE PROJECT THAT SHOULD BE PUTTING IN AN APPLICATION IN THE NEXT FEW WEEKS.

THAT ONE MAY OR MAY NOT MAKE IT ONTO OUR, UH, JANUARY BOARD MEETING, JUST DEPENDING ON WHEN THEY GET THEIR STUFF OVER.

BUT IT'S, IT'S GOT SOME DEEPER AND, UH, BROADER REPORTABILITY TERMS FOR US.

FINANCIALS ARE AFFECTED, BUT, UH, THE WAY THEY PRESENTED IT, I THINK IT'S INTERESTING AND, AND WORTH BRINGING TO THE BOARD.
