YEAH, SO, UH, WE'RE SUPPOSED TO BE CLOSING THAT PROJECT ON THURSDAY, FULLY CLOSING IT, UM, AND GETTING ALL OF THE MONEY REIMBURSED AND WELL AS THESE, UH, OUR STANDARD COLLECTION DECK CLOSING, UH, SHOULD BE A GOOD WEEK FINANCIALLY IF, IF THAT HAPPENS.

UM, IT'S SUPPOSED TO BE WEDNESDAY, BUT WE PUSH BACK TO THURSDAY.

JUST TO BE CAREFUL.

UM, WE HAVE SECURITY ALREADY LINED UP, UH, FOR 24 HOURS AFTER CLOSING.

WE'LL MOVE ON TO ITEM NUMBER EIGHT, DISCUSSION AND APPROVAL OF A RESOLUTION AUTHORIZING THE NEGOTIATION AND EXECUTION OF A TERM SHEET FOR HALL STREET AND AFFORDABLE MULTIFAMILY DEVELOPMENT PROJECT IN PARTNERSHIP WITH FAIRFIELD RESIDENTIAL, LOCATED AT 1823 NORTH HALL STREET, DALLAS, TEXAS 7 5 2 0 4.

SO THIS PROJECT, WE ARE IN THE PROCESS OF NEGOTIATING AN MOU AND THERE'S NOT REALLY MUCH MORE TO UPDATE OTHER THAN THAT.

WE HAD PLANNED TO GET IT ON THIS AGENDA, BUT, UH, IT'S JUST NOT READY FOR BOARD CONSIDERATION YET.

SO WE'RE GONNA BRING IT BACK TO THE REAL ESTATE COMMITTEE THIS MONTH AND THINK WE HAVE SOME GOOD FEEDBACK AND WE WON'T SEE IT NEXT MONTH.

LET'S MOVE ON TO ITEM NUMBER NINE, DISCUSSION AND APPROVAL OF A COST SHARING'S PROPOSAL WITH THE DALLAS HOUSING FINANCE CORPORATION FOR MANAGEMENT, ADMINISTRATION, OPERATION AND OR OTHER SERVICES.

AND, UH, AARON, UH, WOULD YOU LIKE TO GIVE AN OVERVIEW? I HAVE A FEW HIGHLIGHTS THAT I WOULD LIKE TO READ FROM DIRECTOR TAAS.

EVERYTHING THAT I, OKAY.

I JUST GO OVER A FEW OF THE HIGHLIGHTS.

THIS WAS, UH, PUT TOGETHER BY OUR DISTINGUISHED, UH, TREASURER AND DIRECTOR TAAS, UH, SENT TO ME.

UH, SO EVERYONE, UH, HERE JUST THE HIGHLIGHTS OF THIS COST SHARING AGREEMENT, THE OBJECTIVE FOR PURPOSES OF ECONOMY AND TO BE EFFICIENT AND OUR EXPENSE STRUCTURE, THEREBY MAXIMIZING OUR POTENTIAL TO PROVIDE HA AFFORDABLE HOUSING.

THE CITY OF DALLAS, THE HSC AND PFC HAVE AGREED TO CERTAIN COST ARRANGEMENTS AND ADMINISTRATIVE EXPENSES.

UM, BASICALLY THE GENERAL MANAGER AARON, CURRENTLY AARON A QUINTO WILL SERVE BOTH THE HFC AND PFC.

HE WILL, THE GM WILL REMAIN AN EMPLOYEE OF THE HFC SALARY.

PAYROLL TAXES AND BENEFITS WILL BE SHARED EQUALLY.

THE PSC WILL REIMBURSE THE HSC FOR PROPORTIONATE SHARE OF THE GM'S EXPENSES ON A QUARTERLY BASIS.

SHOULD THE GM POSITION BECOME VACANT, THE HSC HAS THE RIGHT TO SUSPEND, UH, THE GM SERVICES UNTIL A REPLACEMENT IS FOUND.

DEDICATED EMPLOYEES, MANAGERIAL ADMINISTRATIVE EMPLOYEES OF THE PSC WILL REMAIN EMPLOYEES OF THE PFC.

THE PSC WILL ESTABLISH ITS OWN PAYROLL AND SECURE BENEFITS.

THE SAME IS TRUE OF THE HSC SHARED STAFFING.

SHOULD THE GN DECIDE TO EMPLOY ADDITIONAL STAFF WITH RESPONSIBILITIES TO BOTH THE HSC AND PSC, THOSE EMPLOYEES SHALL BE HIRED BY THE HSC SALARY.

PAYROLL TAXES AND BENEFITS WILL BE APPORTIONED.

EQUALLY SHARED THIRD PARTY SERVICES IS SIMILAR TO SHARED STAFFING.

IF THE GM HIRES A THIRD PARTY COMPANY, WORK ON BEHALF OF BOTH THE HSC AND PFC.

THERE WILL BE APPORTIONED COST OFFICE SPACE EQUIPMENT AND FURNISHING, UH, WORKS THE SAME WAY.

EQUITABLE APPORTIONMENT BETWEEN THE TWO ENTITIES.

AGREEMENT TERM, THE EFFECT WITH RIGHTS TO CANCEL BY EITHER PARTY AFTER 90 DAYS IS, UH, WRITTEN.

WRITTEN NOTICE.

REVIEW OF OPERATIONAL MATTERS AND DISPUTE RESOLUTIONS.

THE GM TO MEET NOT LESS THAN QUARTERLY WITH THE COMMITTEE THAT WE WILL, UH, APPOINT IF THIS IS APPROVED AT THE NEXT MEETING.

AND, AND BY THE HFC

OF REPRESENTATIVES FROM BOTH BOARDS TO REVIEW OPERATIONAL ISSUES, BUDGETS, STAFFING, AND OTHER MATTERS RELEVANT TO EACH ENTITY'S PERFORMANCE.

THE PFC SHOULD APPOINT TWO REPRESENTATIVES, AS SHOULD THE HSC.

AND THAT IS, THOSE ARE HIGHLIGHTS OF THE SHARED, UH, SERVICES AGREEMENT.

AS Y'ALL KNOW, WE'VE BEEN WORKING ON THIS BACK, GOING BACK AND FORTH, UH, FOR QUITE SOME TIME WITH BOTH, UH, UH, DISTINGUISHED ORGANIZATIONS, PFC AND HC, AND HAVE, UM, ACTUALLY WENT THROUGH THE HARD WORK OF THE, UM, STAFF.

UH, UH, KUDOS TO DIRECTOR AND OTHERS HAVE THOROUGHLY REVIEWED THIS OVER THE LAST FEW MONTHS.

UM, IT'S BEEN TWEAKED BY THE HFC.

THEY COME BACK TO US.

WE THOUGHT THEY MIGHT APPROVE IT LAST MONTH, BUT THERE WERE A FEW MORE TWEAKS.

AND SO IT HAS BEEN, UH, TWEAKED AGAIN, , AND WE BELIEVE NOW WE ARE IN A STAGE WHERE WE CAN FINALLY, UM, APPROVE IT.

UH, IF THIS IS APPROVED TODAY, IT WILL GO TO THE HSC AT THEIR NEXT MEETING.

THEY WILL VOTE ON IT.

AND THEN, UH, AARON, UH, WE WILL HAVE AN AGREEMENT THAT WILL BE SIGNED.
